Explanation of Responses:

1. On November 2, 2020, the Company awarded 662 restricted stock as an annual grant to non-employee directors, valued at the fourth quarter average stock price of $196.27 per share. Such shares vest on October 31, 2021 unless, with certain exceptions, the reporting person ceases to be a director prior to the vesting date.

2. The total holdings include 7 shares accrued from dividend payments through participation in the Company's Dividend Reinvestment Plan and 193 shares accrued from dividend payments through participation in the Company's Amended and Restated 2005 Deferred Compensation Plan.
