1. The Reporting Person is the owner and chairman of Taylor Sports Group.

2. GAT Funding, LLC is an entity controlled by the Reporting Person.

3. Fully exercisable and there is no expiration date.

4. In connection with the Issuer's draw under the promissory note issued on August 27, 2024 to GAT Funding, LLC, this warrant was issued as a commitment fee, as described in more detail in Item 1.01 of the Issuer's 8-K as filed with the SEC on August 28, 2024.
