1. Represents settlement of a performance-based Management Stock Unit ("MSU") award granted on September 11, 2015 resulting from the satisfaction of performance metrics during the three-year performance period.

2. Represents the automatic sale of stock to satisfy the Reporting Person's tax withholding obligations.

3. Represents the automatic sale of stock to satisfy the Reporting Person's tax withholding obligations as a result of the settlement of the MSU described in Footnote 1.
