1. This amount represents 377,632.787 shares of Issuer Common Stock held directly by subsidiaries of VEP Group, LLC, or the VEP Group. Robert F. Smith is the sole Managing Member of VEP Group. Consequently, Mr. Smith and VEP Group may be deemed the beneficial owners of the shares held by VEP Group's subsidiaries. Each of VEP Group and Mr. Smith expressly disclaims beneficial ownership of any shares not held directly.
