NORTEK ANNOUNCES PROPOSED
OFFERING OF SENIOR NOTES
PROVIDENCE, RI, November 10, 2010—Nortek, Inc.(“Nortek”) (OTC QB: NTKS) today announced that it intends to offer $300-million in aggregate principal amount of senior notes due October 2018 (the “Notes”). Proceeds of the Notes will be used to redeem or repurchase a portion of the Company’s outstanding 11% Senior Secured Notes due 2013 and for general corporate purposes, including, but not limited to, acquisitions complimentary to our existing lines of business.
The Notes have not been registered under the Securities Act of 1933, as amended (the “Securities Act”), and, unless so registered, may not be offered or sold in the United States absent registration or an applicable exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and other applicable securities laws.
