1. Restricted stock units ("RSUs") convert into common stock on a one-for-one basis.

2. Grant of RSUs as of May 22, 2024. RSUs vest in equal installments on August 22, 2024, November 22, 2024, February 22, 2025 and May 20, 2025. The RSUs will convert into common stock on a one-for-one basis, but the Reporting Person has elected to defer settlement of the common stock underlying these RSUs until separation from service as a director, or a change in control, of the Issuer.
