1. Restricted stock units ("RSUs") convert into common stock on a one-for-one basis.

2. Grant of RSUs as of May 18, 2022. RSUs vest in equal installments on August 18, 2022, November 18, 2022, February 18, 2023 and May 16, 2023. The RSUs will convert into common stock on a one-for-one basis, but the Reporting Person has elected to defer settlement of the common stock underlying these RSUs until separation from service as a director, or a change in control, of the Issuer.
