Explanation of Responses:

1. The transactions reported on this Form 4 were effected pursuant to a Rule 10b5-1 trading plan adopted by the reporting person on December 11, 2015.

2. This amount includes 11,599 and 6,300 restricted stock units granted to the reporting person under the Quintiles Transnational Holdings Inc. 2013 Stock Incentive Plan on November 24, 2013 and May 12, 2014, respectively.

3. The price reported in column 4 is a weighted-average price. These shares were sold in multiple transactions at prices ranging from $65.00 to $65.05, inclusive. The reporting person undertakes to provide to Quintiles Transnational Holdings Inc., any security holder of Quintiles Transnational Holdings Inc., or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth in this footnote (3) to this Form 4.

4. Options granted to the reporting person under the Quintiles Transnational Holdings Inc. 2008 Stock Incentive Plan to purchase a total of 270,000 shares of Quintiles Transnational Holdings Inc. common stock, of which 30,000 vested on August 11, 2011; and 60,000 vested on each of August 11, 2012, 2013, 2014 and 2015.
