1. Stock Award III granted pursuant to the Pulaski Financial Corp. 2006 Long-Term Incentive Plan vests as follows: 300 shares vest immediately upon the date of grant and 300 shares vest on October 28, 2016.

2. Since the reporting person's last report 419 shares previously held by Stock Award and 375 shares previously held by Stock Award II have vested and are now owned directly.

3. Stock Award II granted pursuant to the Pulaski Financial Corp. 2006 Long-Term Incentive Plan will vest on January 29, 2016.

4. Stock Options granted pursuant to the Pulaski Financial Corp. 2006 Long-Term Incentive Plan are fully vested and exercisable.
