Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 20, 2023, Jesse Lynn and Andrew Teno each provided notice of their resignation from the Board of Directors of Crown Holdings, Inc. (the "Company"), effective on such date. Their resignations were delivered pursuant to the Director Appointment and Nomination Agreement, dated December 12, 2022, by and among the Company, Carl C. Icahn and the persons and entities listed therein, and were not due to any disagreement with the Company. Mr. Lynn served as a director and a member of the Nominating and Corporate Governance Committee. Mr. Teno served as a director, a member of the Audit Committee and a member of the Compensation Committee.
