Explanation of Responses:

1. Shares of restricted stock awarded on August 1, 2019 for no cash consideration pursuant to the Company's 2011 Stock Option Plan for Non-Employee Directors as amended and a Restricted Stock Award Agreement . Pursuant to the Restricted Stock Award Agreement, the restrictions will lapse on the date that is seven months after the grant date.

2. All share amounts have been adjusted to reflect the distribution of an eight percent (8%) stock dividend in February 2019.
