Explanation of Responses:

1. These shares of common stock represent restricted stock granted pursuant to an award agreement between Mr. Chism and the Issuer and are subject to forfeiture. The restricted stock awarded will vest in installments as follows: (1) 62,500 shares will vest on June 7, 2025, and (2) 62,500 shares will vest on June 7, 2026.

2. The option becomes exercisable and may be exercised in installments as follows: (1) 41,667 shares will vest on June 7, 2025, (2) 41,667 shares will vest on June 7, 2026, and (3) 41,666 shares will vest on June 7, 2027.
