Explanation of Responses:

1. These restricted stock units are scheduled to vest 50% each on March 15, 2026 and March 15, 2027, subject to continued service through each applicable vesting date.

2. Shares withheld from issuance to satisfy tax withholding obligations in connection with the vesting of 8,343 shares, which represents 100% of the shares received upon the satisfaction of performance criteria underlying the award of performance stock units granted to the Reporting Person on March 15, 2020.

3. Shares withheld from issuance to satisfy tax withholding obligations in connection with the vesting of 1,387 shares, which represents 100% of the shares received upon the satisfaction of performance criteria underlying the award of performance stock units granted to the Reporting Person on March 15, 2020.
