ITEM 2.05 | Costs Associated with Exit or Disposal Activities. |
On November 21, 2019, Bio-Rad Laboratories, Inc. (the “Company”) initiated a strategy-driven restructuring plan in furtherance of the Company’s ongoing program to improve operating performance. The restructuring plan includes a workforce reduction, primarily in Europe, which the Company anticipates to be substantially completed by the end of the second quarter of 2020.
The Company estimates that as a result of this restructuring it will incur approximately $27 million in total cost, which will consist of cash expenditures in the form of one-time termination benefits to the affected employees, including cash severance payments, healthcare benefits, and related transition assistance. The Company anticipates that it will record the majority of the charges related to this restructuring in the fourth quarter of 2019 with the balance recorded by the end of 2020. The Company expects that a significant portion of the net savings resulting from this restructuring plan will be repurposed in alignment with the Company’s portfolio strategy.
