Explanation of Responses:

1. As described in the Issuer's registration statement on Form S-1 (File No. 333-249640), the shares of Class B common stock, par value $0.0001 per share, will automatically convert into shares of Class A common stock, par value $0.0001 per share, of the Issuer at the time of the Issuer's initial business combination (the "Business Combination"), on a one-for-one basis.

2. On June 4, 2021, TS Innovation Acquisitions Corp. ("TSIA" and the former name of the Issuer) consummated the Business Combination with Latch, Inc. In connection with the Business Combination, each Class B share converted to one Class A share. The reporting person resigned as a director of the Issuer upon consummation of the Business Combination.
