Explanation of Responses:

1. On May 28, 2015, 6,000 restricted stock units were awarded under the SunEdison, Inc. 2015 Equity Non-Employee Director Incentive Plan in a transaction exempt under Rule 16b-3. Each restricted stock unit represents a contingent right to receive one share of SunEdison common stock.

2. The restricted stock units vest on May 28, 2016. Vested shares will be delivered to the reporting person within 30 days of the cessation of the reporting person's service on the SunEdison Board of Directors.
