Explanation of Responses:

1. Pursuant to Rule 16a-2(d) under the Act, on June 17, 2022, the date following the expiration of 12 months following her appointment and qualification as executor of her late husband's estate, Mrs. Cirillo may be deemed to have acquired beneficial ownership of shares beneficially owned by the estate to the extent of her pecuniary interest in such shares. Such shares were subsequently distributed from the estate to Mrs. Cirillo on January 18, 2023.
