Explanation of Responses:

1. The transaction reported reflects the cash settlement of a fractional share in connection with the vesting of restricted stock units. The restricted stock units were granted to the reporting person on June 12, 2019 pursuant to the company's 2017 Stock Incentive Plan in accordance with the company's compensation program for non-employee directors and vested, in full, on June 12, 2020, together with accrued dividend equivalent units.
