Explanation of Responses:

1. This Form 3 is being amended to correct the amount of securities beneficially owned by the Reporting Person. The originally reported amount of securities beneficially owned by the Reporting Person included 367 shares of common stock that had previously been withheld by the Issuer for tax withholding purposes. This error resulted in the misreporting of the amount of securities beneficially owned by the Reporting Person on subsequent reports.
