1. The shares are held directly by The Richard J. Meelia 1997 Revocable Trust udt dated 12/29/1997 (the "Trust"). The Reporting Person's immediate family members are beneficiaries of the Trust. The reporting person disclaims beneficial ownership of the shares held by the Trust except to the extent of his pecuniary interest, if any, and this report should not be deemed an admission that the reporting person is the beneficial owner of the Trust's shares for purposes of Section 16 or for any other purposes.
