Explanation of Responses:

1. On October 2, 2023, the Reporting Person was granted 96,311 shares of restricted stock pursuant to the Issuer's 2022 Equity Incentive Plan. The shares shall vest annually for three years, with one third vesting on April 13, 2024, one third vesting on April 13, 2025, and one third vesting on April 13, 2026, provided that the Reporting Person continues to be employed by the Issuer on each of such dates.
