Item 8. Other Events.

On May 24, 2011, Spherix Incorporated (“Spherix”) issued a press release announcing that it had received notification from NASDAQ that Spherix had regained compliance with Marketplace Rule 5550(a)(2) since the closing bid price of its common stock, $0.01 par value per share, had traded at $1.00 per share or greater for at least ten (10) consecutive business days.  A copy of that press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.
