1. 25,000 of the shares reported are restricted stock units ("RSUs") granted 1/17/2024. Each RSU represents a contingent right to receive one share of ASTI common stock.

2. One third of the RSU's will vest on each of 3/31/2024, 1/1/2025 and 1/1/2026. Any outstanding and unvested RSU's will accelerate and fully vest upon a change of control.
