Explanation of Responses:

1. This amendment is being filed to (i) report the forfeiture of performance-based restricted stock on July 30, 2021 that was omitted from the reporting person's Form 4 filed on August 4, 2021 (the "Original Form 4") and (ii) correct the number of shares of common stock beneficially owned by the reporting person following the sale of shares from 488,349 shares, the amount previously reported on the Original Form 4, to 498,349 shares. The 10,000 shares that were inadvertently omitted in the Table I, Column 5 share total disclosed in the Original Form 4 were also inadvertently omitted in the Table 1, Column 5 share total disclosed in the Form 4 filed by the reporting person on August 9, 2021.

2. Represents the forfeiture of performance-based restricted stock granted to the reporting person on July 26, 2019 that were eligible to vest based on certain financial performance objectives.

3. Represents shares automatically sold solely to satisfy tax withholding obligations of reporting person on vesting of restricted stock. Proceeds from the sale were submitted to the Internal Revenue Service.

4. Represents shares held by Grantor Retained Annuity Trust and by Eberle Family Irrevocable Trust.
