Merton Corn, who retired as President and Chief Executive Officer of the Registrant in November 2007, has resigned as a director of the Registrant and its subsidiary, Victory State Bank. Mr. Corn is taking a position as an executive officer of another FDIC-insured depositary institution. In accordance with the requirements of the Depository Institutions Management Interlocks Act, Mr. Corn was required to resign from his position as a director of the Registrant and Victory State Bank because the institution where he will be an executive officer is located in the same city as the Registrant and Victory State Bank.
