Explanation of Responses:

1. In connection with the exercise of the share appreciation rights award described in Table II, 14,723 common shares were disposed of in satisfaction of the exercise price and taxes. The reporting person received a net issuance of 8,527 common shares.

2. Represents a weighted average sale price; the sales prices range from $76.66 to $76.90. Upon request, the full information regarding the number of shares sold at each separate price within the range will be provided to the issuer, any security holder of the issuer or the staff of the Securities Exchange Commission

3. The share appreciation right became exercisable in three equal annual installments; the first installment became exercisable on May 13, 2015 and the next two installments on May 13, 2016 and May 13, 2017 subject to the applicable award agreement.
