Explanation of Responses:

1. Represents restricted stock units granted pursuant to the Intersect ENT, Inc. 2014 Equity Incentive Plan. Each restricted stock unit represents a right to receive one share of Intersect ENT, Inc. common stock upon vesting. The restricted stock units vest in three equal annual installments commencing one year after the Vesting Commencement Date of February 1, 2022.

2. Includes 128,793 restricted stock units, of which 57,230 are performance based.

3. Shares tendered in payment of the tax withholding obligation in compliance and as required by the company's equity documents.

4. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $27.20 to $27.55, inclusive. The Reporting Person undertakes to provide, upon request, full information regarding the number of shares sold at each separate price within the ranges set forth in this footnote to this Form 4.
