Represents a grant of restricted stock units received by the Reporting Person in lieu of annual director retainer fees pursuant to a stock-for-fees election under the Issuer's Director Compensation Policy. The units will vest in full on the one-year anniversary of the grant date and are payable in an equivalent number of shares of the Issuer's common stock.
