Item 8.01Other Events.
On October 22, 2020, the Federal Reserve Bank of Kansas City advised Equity Bancshares, Inc. (the “Company”) that it had no objection to the Company’s authorization of its repurchase of up to 800 thousand shares of the Company’s Class A Voting Common Stock, par value $0.01 per share, from time to time, beginning October 30, 2020 and concluding October 29, 2021. This follows the completion of a previously authorized 2019 repurchase program in which the Company repurchased 1.1 million shares at a total cost of $23.7 million, or an average of $21.54 per share. The Company may repurchase shares in privately negotiated transactions, in the open market, including pursuant to any trading plan that may be adopted in accordance with Rule 10b5-1 promulgated by the Securities and Exchange Commission, or otherwise in a manner that complies with applicable federal securities laws. The repurchase program does not obligate the Company to acquire a specific dollar amount or number of shares and it may be extended, modified or discontinued at any time without notice.
