1. Represents the number of shares withheld to satisfy tax withholding obligations on the vesting and release of restricted stock units.

2. The reported number is based on a 401(k) plan statement dated as of November 14, 2022.

3. Each restricted stock unit represents a contingent right to receive one share of Issuer common stock.

4. The first tranche of these restricted stock units vested on November 14, 2022 (the date the Compensation Committee certified achievement of the performance hurdle). The remaining two tranches will continue to vest, equally, on October 15, 2023 and October 15, 2024.
