Explanation of Responses:

1. Represents the number of shares withheld to satisfy tax withholding obligations in connection with the vesting and release of the restricted stock units listed in Table II.

2. Each restricted stock unit represents a contingent right to receive one share of Issuer common stock. A performance hurdle tied to the Issuer's 2020 financial performance was satisfied.

3. Each restricted stock unit represents a contingent right to receive one share of Issuer common stock.

4. Restricted stock units vest in three equal annual installments, beginning on the first anniversary of the grant date and ending on January 13, 2024.
