Explanation of Responses:

1. This transaction involved a gift by the Edward Smolyansky Trust 2/2/16 (the "Trust"), of which the reporting person is the trustee, to the reporting person's son. The reporting person disclaims beneficial ownership of the securities held by his son, and this report shall not be deemed an admission that the reporting person is the beneficial owner of the securities for purposes of Section 16 or for any other purpose.

2. Beneficially held by the Trust.

3. Held by Smolyansky Holding LLC. The reporting person disclaims beneficial ownership of such shares except to the extent of any pecuniary interest therein.
