1. The shares of common stock reported reflects a quarterly payment to directors for Q4 2022 service. All shares are owned directly by Mr. Brooks, a director of Cogent Communications Holdings, Inc. This Amendment has been filed to correct a scrivener's error in the transaction date. The transaction date was January 3, not October 3.
