Explanation of Responses:

1. Common stock received for no consideration upon the satisfaction of performance criteria underlying an award of performance based restricted stock units ("RSUs").

2. These RSUs were granted under the Vishay Precision Group, Inc. 2010 Stock Incentive Program, as amended, and in accordance with the reporting person's employment agreement, as amended. The RSUs will vest on January 1, 2022, subject to the continued employment of the reporting person.
