Explanation of Responses:

1. On June 29, 2016, the reporting person contributed 500,000 shares of CONN common stock to a grantor retained annuity trust (GRAT) for the benefit of the children of Warren and Harriet Stephens. The reported transaction on June 28, 2017 represents the return of a portion of such shares to the reporting person in satisfaction of the GRAT's annuity obligation.
