Explanation of Responses:

1. Shares of Class B Common Stock will automatically convert into shares of the Issuer's Class A Common Stock at the time of the Issuer's initial business combination on a one-for-one basis, subject to adjustment, as described under the heading "Description of Securities" in the Issuer's registration statement on form S-1 (File No. 333-237960) and have no expiration date.

2. Includes up to 1,350,000 shares of Class B Common Stock subject to forfeiture depending on the extent to which the underwriters' over-allotment option is exercised as described in the Issuer's registration statement.

3. The securities are held directly by Longview Investors LLC. The Reporting Person is the managing member of Longview Investors LLC and shares voting and dispositive power over and may be deemed to beneficially own such shares hold by Longview Investors LLC. The Reporting Person disclaims beneficial ownership over any securities owned by Longview Investors LLC other than to the extent of any pecuniary interest he may have therein.
