Explanation of Responses:

1. Acquired in accordance with Mr. Brown's prior election to purchase common shares of FS Energy and Power Fund ("FSEP") with fees earned during the prior calendar quarter as a trustee of FSEP.

2. Includes common shares acquired through FSEP's distribution reinvestment plan.

3. These common shares are directly owned by NFI International, Ltd., of which Mr. Brown is a principal interest holder. Mr. Brown disclaims beneficial ownership of any common shares held by NFI International, Ltd. that exceed his pecuniary interest therein.
