Explanation of Responses:

1. Include 127,141 shares held by the Trung Tri Doan 2010 GRAT, of which Mr. Doan is the sole trustee.

2. On December 10, 2019, the Company issued a convertible unsecured promissory note (the "Note") to the Reporting Person (the "Holder"), with a principal sum of $500,000.00 and an annual interest rate of 3.5%. The outstanding principal and unpaid accrued interest of the Note may be converted into the Company's Common Stock based on a conversion price of $3 dollars per share, at the option of the Holder any time from the date of the Note.
