Explanation of Responses:

1. Shares issued upon vesting of 2015 LTIP Award under registrant's Incentive Compensation Plan.

2. Represents value of shares based on closing price of Piedmont stock on day prior to vesting, which was $57.35. No consideration was paid for the shares.

3. This number does not include 2,840.64 shares that are held indirectly by Mr. O'Hara in his 401(k) account.

4. The original Form 4 that was filed on December 15, 2015 stated that Mr. O'Hara held 67,057.2 shares of Piedmont's common stock, which omitted 790 shares of stock that are owned by Mr. O'Hara. The 790 shares were also omitted from a subsequent Form 4 that was filed on December 17, 2015 for Mr. O'Hara. This amendment corrects Mr. O'Hara's beneficial ownership number.
