Item 1.01. Entry into a Material Definitive Agreement.
On January 25, 2005, Multi-Color Corporation and Journal Communications, Inc. (the “Company”) entered into a definitive asset purchase agreement pursuant to which Multi-Color Corporation acquired substantially all of the assets and certain liabilities of NorthStar Print Group, Inc., the label manufacturing subsidiary of the Company. The purchase price paid by Multi-Color Corporation to the Company, excluding certain real estate holdings, was $27,031,231 in cash. The sale transaction was effective on January 25, 2005.
A copy of the joint Press Release issued by the companies regarding the sale transaction is furnished as Exhibit 99.1 and is incorporated by reference herein.
