Item 1.01. Entry into a Material Definitive Agreement.
The Compensation Committee (the “Committee”) of the Board of Directors of Journal Communications, Inc. (the “Company”) from time to time grants equity awards to officers, employees and non-employee directors of the Company under, and pursuant to the terms and conditions of, the Company’s 2003 Equity Incentive Plan (the “Plan”). The forms of award agreements the Committee uses to grant such equity awards are filed as exhibits hereto and are incorporated by reference herein, and include the (i) stock option award agreement (non-statutory stock option grant) for directors, (ii) stock option award agreement (non-statutory stock option grant) for officers and employees, (iii) stock grant award agreement, (iv) restricted stock award agreement for directors and (v) restricted stock award agreement for officers and employees.
