Explanation of Responses:

1. The Class B Common Stock is convertible into Class A Common Stock (subject to certain limitations specified in the Issuer's Amended and Restated Articles of Incorporation) on a 1-for-1 basis at no cost.

2. Reflects payment of tax liability by withholding shares of stock incident to vesting of restricted stock previously issued.

3. The Form 4 filed on February 20, 2013, reported that the reporting person held 35,246 shares following the reported transaction. This amended Form 4 is being filed to report that the reporting person actually held 37,246 shares following the transaction.
