Explanation of Responses:

1. Mr. Traub may be deemed to be a member of a Section 13(d) group that may be deemed to collectively beneficially own more than 10% of the Issuer's outstanding shares of common stock.

2. 25% of the shares will vest and become exercisable on June 29, 2019; then 2.0833% of the shares will vest and become exercisable monthly thereafter until 100% vested, subject to continued service through each vesting date.
