Explanation of Responses:

1. Grant of restricted stock to non-employee director following initial appointment to the Board of Directors, which, pursuant to the Company's non-employee director compensation program, has been prorated for the time period from the effective date of the appointment to the date of the Company's 2017 annual meeting of stockholders. The grant of restricted stock vests in full upon the expiration of non-employee director's current term of office. Reflects a value of $150,094 (representing the prorated amount of the non-employee director compensation program's annual grant of restricted stock having a value of $185,000) divided by the closing price of common stock on the date of grant.
