Explanation of Responses:

1. This transaction was executed in multiple trades at prices ranging from $283.92 to $284.01. The price reported reflects the weighted average sale price. The reporting person hereby undertakes to provide upon request to the SEC staff, the issuer or a security holder of the issuer full information regarding the number of shares and prices at which the transaction was effected.

2. The option represents a right to purchase a total of 21,191 shares, and is exercisable in six semi-annual installments with one installment of 3,531 shares and five installments of 3,532 shares each beginning on December 2, 2014, which is the six-month anniversary of the date on which the option was granted.

3. The option represents a right to purchase a total of 11,354 shares, and is exercisable in six semi-annual installments, with four installments of 1,892 shares each and two installments of 1,893 shares each, beginning on September 1, 2018, which is the six-month anniversary of the option grant date.

4. The option represents a right to purchase a total of 15,314 shares, and is exercisable in six semi-annual installments, with four installments of 2,552 shares each and two installments of 2,553 shares each, beginning on September 1, 2017, which is the six-month anniversary of the option grant date.

5. The option represents a right to purchase a total of 20,289 shares, and is exercisable in six semi-annual installments, with three installments of 3,381 shares each and three installments of 3,382 shares each, beginning on September 1, 2016, which is the six-month anniversary of the option grant date.
