Explanation of Responses:

1. Distribution from Value Generation Capital Fund, LP, of which Mr. Singh is a managing member, to one of its limited partners due to such limited partner's full redemption of its interest in Value Generation Capital Fund, LP.

2. The reported securities are owned directly by Value Generation Capital Fund, LP, and indirectly by Value Generation Capital, LLC, as general partner of Value Generation Capital Fund, LP, and Mr. Singh as the managing member of Value Generation Capital, LLC. Mr. Singh disclaims beneficial ownership of such shares, except to the extent of his pecuniary interest therein.
