Explanation of Responses:

1. On April 3, 2017, the reporting person was granted an award based on the achievement of certain performance measures, except that such award provided that in no event shall the number of shares subject to the award be less than 50% of the target opportunity as of the grant date. Based on company performance at 12/31/17, the LTICC certified on March 12, 2018 that reporting person was entitled to 128.4% of his target opportunity.
