Explanation of Responses:

1. Award of restricted stock, subject to vesting. 787 of the shares vest August 26, 2021 and 859 shares vest August 25, 2022, subject to continued service through each such vesting date.

2. Represents performance stock units as to which the performance criteria were determined to have been met at the 50% level on October 16, 2019. The PSUs remain subject to time-based vesting. 62 shares vest on October 26, 2019, and 62 shares vest on October 26, 2020, subject to continued service or acceleration of vesting as provided in award agreement.
