| 1. Represents the number of shares of common stock issued upon the vesting of performance stock units (PSUs). Each PSU represented a contingent right to receive one share of the Issuer's common stock. The PSUs were originally granted on 07/05/2022 and were eligible to vest based on the Issuer's achievement of certain performance objectives during the performance period ending December 31, 2024. On January 17, 2025, the Human Capital Management and Compensation Committee of the Board of Directors of the Issuer certified the Issuer's achievement relative to the applicable performance objectives and approved the vesting of the PSUs with respect to these shares. |
| 2. Represents the number of shares required to be sold by the reporting person to cover tax withholding obligations in connection with the vesting of PSUs. These sales are mandated by the Issuer's election under its equity incentive plans to require the satisfaction of a tax withholding obligation to be funded by a "sell-to-cover" transaction and do not represent discretionary trades by the reporting person. |
| 3. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $3.21 to $3.27.
