1. This transaction was effected pursuant to a Rule 10b5-1 trading plan adopted by the reporting person.

2. Represents the weighted average sale price. The lowest price at which shares were sold was $37.39 and the highest price at which shares were sold was $38.34. The reporting person undertakes to provide upon request to the staff of the Securities Exchange Commission, the issuer or its stockholders, full information regarding the total number of shares sold at each separate price within the ranges set forth in footnotes (2), (3), (4), (5) and (7) to this Form 4.

3. Represents the weighted average sale price. The lowest price at which shares were sold was $38.76 and the highest price at which shares were sold was $39.70.

4. Represents the weighted average sale price. The lowest price at which shares were sold was $39.88 and the highest price at which shares were sold was $40.41.

5. Represents the weighted average sale price. The lowest price at which shares were sold was $37.37 and the highest price at which shares were sold was $38.30.

6. The reporting person's spouse is the trustee of the Amygdala Lange Trust. The reporting person disclaims beneficial ownership of such securities, and the inclusion of these securities in this report shall not be deemed an admission of beneficial ownership of such securities for purposes of Section 16 or for any other purposes.

7. Represents the weighted average sale price. The lowest price at which shares were sold was $39.31 and the highest price at which shares were sold was $39.61

8. The reporting person is a general partner of Asset Management Ventures Fund, L.P. ("AMVF L.L.P."), and has shared voting and dispositive power over the shares held by AMVF L.L.P. The reporting person disclaims beneficial ownership over such securities except to the extent of his pecuniary interest therein, and the inclusion of such securities in this report shall not be deemed an admission of beneficial ownership of the reported securities for purposes of Section 16 or for any other purposes.

9. The reporting person's spouse is the trustee of the Adrienne M. MacMillan Revocable Trust.
